Toledo Area Bicyclists ConstitutionArticle 1: Name Article 2: Purpose The primary purpose of TAB is the promotion and encouragement of bicycle riding as a means of healthful exercise. To further this purpose, TAB may promote and conduct tours, disseminate information on bicycling through newsletters, booklets, clinics, meeting, handbooks and education programs, participate in or institute research projects, make awards, and do all other such things conducive to the encouragement of bicycling and better physical fitness for individuals of all ages. TAB may engage in community activities publicizing bicycling events and cooperate with other organizations advocating bicycling or physical fitness. TAB may work cooperatively with other organizations with similar goals. Article 3: Membership The requirements for individual membership are an interest in bicycling or physical fitness and the payment of annual dues. Members shall receive notice of the calendar of events and have the opportunity to purchase clothing and equipment. Membership is encouraged to all regardless or race, sex or religion Term of membership shall be effective from January 1st of the current calendar until January 31st of the next calendar year. Members who have not renewed by January 31st of the current calendar year will no longer be considered current members and will be removed from the TAB roster. Article 4: Meetings The club shall hold one annual meeting during the calendar year and as many other meetings as deemed necessary by the president and/or executive board. The annual meeting shall be a time at which changes in the constitution may be voted. Special meetings may be held and may be called by the president or a majority of the other members of the executive board. Article 5: Dues and Expenses Each member shall remit to the treasurer of TAB an annual dues payment as determined by the executive board. The fiscal year will be from January through December. Members shall pay no fee for rides. Non-members shall pay a fee as determined by the executive board. Membership cards will be issued yearly. A monetary discount, as a renewal incentive, and as determined by the executive board, shall be applied to the annual dues payment if a current member submits his or her renewal application to the Membership Director before January 31st. Membership renewals and new applicants will pay the full dues amount in effect on or after February 1st. Article 6: Officers The officers of TAB shall be elected by secret ballot by a majority of those voting. Nominations must be made before the annual meeting. The elected officers will consist of president, vice-president, secretary and treasurer. A term of office for all officers shall be one year. Officers can be re-elected for consecutive terms. The executive board shall consist of the elected officers. The term of office will consist from January through December. Article 7: Committees Committees shall exist for the purpose of holding responsibilities for specific tasks and projects. Chairpersons shall be appointed as necessary by the president. Chairpersons can be in charge of more than one committee. Chairpersons of each committee are responsible for the planning, organizing and delegating of tasks for the activity named by the committee. Article 8: Amendments This constitution may be amended only at a meeting; a 3/4 majority of the eligible membership present voting in favor of said amendment. Notice of a meeting to vote on proposed constitutional changes must be mailed to the membership at least fourteen days before the meeting date. Amendments will go into effect immediately following adoption. Article 9: Dissolution Upon dissolution of TAB the net assets of TAB shall be distributed in a manner to directly benefit bicycling as determined by the executive board. Article 10: Duty of Officers The president is the chief administrative and executive officer of the organization. He/she is responsible for planning, organizing and delegating all activities which provide for maintenance of the club. Routine tasks, such as assurance of preparation for weekly rides, calling for and receiving reports from committee chairpersons and other officers regarding projects, confirming financial status of the club with the treasurer, as well as forecasting future needs of the club and representing the club to the community fall within the president’s realm of responsibility. The vice-president is responsible to assist the president as assigned and represents the president in his/her absence. The secretary is responsible for notifying members of annual and specific meeting, changes in the constitution, and recording minutes of all TAB meetings.
